1. Parties & Platform Nature

DropSetu ("Platform", "we", "us") is a technology intermediary that connects verified suppliers with registered resellers in India. DropSetu does not purchase, hold, own, or sell any products listed on the Platform. DropSetu is not a logistics operator, courier aggregator, or marketplace seller.

By registering as a Supplier, you ("Supplier", "you") acknowledge that DropSetu acts solely as a connector and order-routing infrastructure. The contract of sale for any product is formed directly between you (the Supplier) and the end customer, facilitated by the Reseller.

2. Supplier Eligibility & Verification

To register and remain active on DropSetu, you must at all times:

• Hold a valid GSTIN (Goods and Services Tax Identification Number) registered under the Goods and Services Tax Act, 2017.
• Possess a valid PAN Card in your name or your business entity's name.
• Maintain a bank account registered in your business name for payout purposes.
• Maintain a minimum of 10 active, in-stock SKUs on the Platform at any time.
• Have a valid and active account with at least one logistics partner (Shiprocket, Delhivery, Ecom Express, DTDC, Professional Courier, or equivalent).

DropSetu reserves the right to suspend or permanently remove any Supplier whose GSTIN lapses, becomes inactive, or fails GST filing compliance checks without prior notice.

3. Product Listings & Accuracy

You are solely responsible for the accuracy, completeness, and legality of all product information uploaded to the Platform, including but not limited to:

• Product title, description, images, and specifications
• Wholesale price and available inventory count
• HSN/SAC codes for GST compliance
• Country of origin and applicable certifications (BIS, FSSAI, etc.)

You must not list counterfeit, prohibited, or unlicensed goods. DropSetu may remove any listing at its discretion without notice if it is suspected to be fraudulent, counterfeit, or in violation of applicable Indian law.

4. Order Fulfilment Obligations

Upon receiving an order routed through the Platform, you are obligated to:

• Confirm the order within 4 hours of receipt during business hours (9 AM – 7 PM IST, Monday to Saturday).
• Dispatch the order within 48 hours of order confirmation, using your own logistics account.
• Enter the courier name and AWB (Air Waybill) number into the DropSetu Supplier Dashboard within 2 hours of dispatch.
• Ensure packaging is adequate to prevent damage in transit. Damage due to inadequate packaging is your liability.

Consistent failure to meet the 48-hour dispatch SLA (more than 10% of monthly orders) will result in automatic suspension pending review.

5. Logistics & Shipping

You are solely responsible for all shipping arrangements. DropSetu does not book shipments, negotiate courier rates, or act as a shipping agent on your behalf. DropSetu only reads tracking status from your logistics API (with your permission) and relays it to the Reseller's store.

All courier contracts, shipping label costs, COD remittances, and RTO (Return to Origin) charges are exclusively between you and your chosen courier. DropSetu has no liability for delays, losses, or damages caused by the courier.

6. Pricing, Payments & GST

You set your own wholesale price on the Platform. Resellers add their own markup independently. DropSetu charges a platform subscription fee (communicated at time of onboarding) which is subject to 18% GST as per applicable Indian tax law.

You are responsible for issuing a valid GST invoice for every order fulfilled. The invoice must be in the name of the Reseller or the end customer as appropriate. DropSetu does not issue invoices on your behalf for product transactions.

Payouts from DropSetu (from Reseller wallet) will be processed after delivery confirmation, subject to the dispute resolution period of 72 hours post-delivery.

7. Returns, Refunds & Disputes

You must define and publish a clear Return & Replacement Policy on your supplier profile at the time of onboarding. This policy is binding on all orders placed through the Platform.

In the event of a dispute raised by a Reseller (quality mismatch, wrong product, damage in transit), DropSetu will provide the communication channel and order record. Resolution is expected directly between the Supplier and Reseller. DropSetu may, at its discretion, release escrow funds to either party based on evidence submitted.

DropSetu is not liable for product defects, quality disputes, or damage claims. Your escrow deposit (collected at onboarding) may be used to compensate a Reseller if you are found to be at fault and fail to respond within 5 business days.

8. Escrow Deposit & Security

Upon onboarding, suppliers are required to submit a refundable security deposit (amount communicated at onboarding, typically ₹10,000–₹50,000 based on catalog size). This deposit:

• Is held by DropSetu in a designated escrow account
• May be used to compensate Resellers for proven SLA breaches or quality failures you do not resolve
• Is fully refundable upon account closure, minus any outstanding deductions
• Does not accrue interest

9. Prohibited Conduct

You must not:

• Contact Resellers outside the Platform to circumvent DropSetu's subscription fees
• List the same product at a lower price on external platforms to undercut Resellers
• Provide false or misleading product information, images, or specifications
• Use the Platform to list products that are banned, restricted, or require special licences under Indian law
• Manipulate ratings or reviews on the Platform

Violation of any prohibited conduct clause will result in immediate suspension and potential forfeiture of the escrow deposit.

10. Intellectual Property

By uploading product images, descriptions, and content to the Platform, you grant DropSetu a non-exclusive, royalty-free licence to display that content on the Platform and in promotional materials. You retain ownership of your content. You confirm that all uploaded content is original or you hold appropriate rights to use it.

11. Account Suspension & Termination

DropSetu may suspend or terminate your account with immediate effect if:

• Your GSTIN becomes invalid or your GST returns lapse
• Your RTO rate exceeds 40% in any calendar month
• You breach any clause of these Terms
• We receive verified fraud complaints against you from Resellers
• You become subject to insolvency proceedings under Indian law

Upon termination, all pending payouts will be processed after the standard dispute resolution period. The escrow deposit will be returned after deducting any outstanding claims.

12. Limitation of Liability

DropSetu's total liability to you under these Terms, for any reason, shall not exceed the total platform subscription fees paid by you in the 3 months preceding the claim. DropSetu is not liable for any indirect, incidental, special, or consequential losses, including loss of profits, loss of data, or loss of business.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India. We encourage disputes to be resolved first through written communication to hello@dropsetu.com before initiating legal proceedings.

14. Amendments

DropSetu reserves the right to amend these Terms at any time. Suppliers will be notified via WhatsApp and email at least 14 days before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

1. Platform Nature & Your Role

DropSetu is a technology intermediary that connects you ("Reseller", "you") with verified Indian suppliers. DropSetu does not sell products, own inventory, or operate logistics. As a Reseller, you are the seller of record for every transaction between you and your end customers. DropSetu is not a party to any sale between you and your end customers.

You are responsible for all obligations toward your end customers under the Consumer Protection Act, 2019 and any other applicable Indian law. DropSetu provides infrastructure — the commercial relationship is yours.

2. Reseller Eligibility

To register and remain active as a Reseller, you must:

• Be at least 18 years of age and legally capable of entering into contracts under Indian law.
• Provide a valid Indian mobile number linked to Aadhaar for OTP-based KYC verification.
• Maintain a valid bank account (savings or current) for wallet top-up and refund processing.
• Register your GSTIN if your annual turnover from the Platform exceeds ₹40 lakh (as required under the GST Act).
• Provide PAN details for TDS compliance if cumulative payouts from DropSetu exceed ₹2.5 lakh in a financial year.

3. Wallet & Payment Terms

New Resellers operate on a prepaid wallet model for the first 30 days or 30 orders (whichever comes later). You must maintain a minimum wallet balance before placing orders. Wallet top-ups are processed via Razorpay (UPI, Net Banking, Debit/Credit Card).

COD (Cash on Delivery) order access is unlocked after completing 30 clean orders with a delivery rate above 70%. DropSetu reserves the right to revoke COD access if your RTO rate exceeds 40% in any 30-day period.

Wallet balances are non-transferable and non-refundable except upon formal account closure, subject to completion of all pending orders and resolution of all disputes.

4. Ordering & Order Confirmation

When placing an order through the Platform (manually or via Shopify/WooCommerce integration), you confirm that:

• The end customer's delivery address and phone number are accurate.
• You have collected or will collect payment from the end customer.
• You consent to an automated IVR or WhatsApp order confirmation call being made to the end customer's phone number before dispatch.

Providing false delivery addresses or placing orders with no intent to fulfil constitutes fraud and will result in immediate account termination and potential legal action.

5. Supplier Relationship & Product Responsibility

DropSetu verifies suppliers through GSTIN check, PAN verification, and a 5-order quality test. However, DropSetu does not guarantee the quality, accuracy, or fitness for purpose of any product supplied. The Supplier is solely responsible for product quality.

By selling a supplier's product, you accept that:

• You have reviewed the supplier's public rating and dispatch history on the Platform.
• You are responsible for handling your end customer's complaints and returns.
• You will raise a formal dispute through the Platform's dispute channel within 48 hours of delivery if there is a quality or fulfilment issue.

6. Shopify & WooCommerce Integration

By connecting your Shopify or WooCommerce store to DropSetu, you grant DropSetu's integration plugin the necessary API permissions to read orders, update fulfilment status, and push product data. You remain solely responsible for your store's compliance with Shopify's and WooCommerce's terms of service.

DropSetu's plugin does not access payment data, customer financial information, or any data beyond what is required for order routing and tracking sync. You may revoke integration access at any time through your store's app settings.

7. Your Customers & Data Ownership

Your end customers belong to you. DropSetu will never contact your end customers directly, market to them, or use their data for any purpose other than facilitating order tracking notifications (sent in your store's name, not DropSetu's).

You own all customer data collected through your store. DropSetu processes order-level data (name, address, phone number) solely to route orders to suppliers and relay tracking updates. See our Privacy Policy for full details.

8. Prohibited Conduct

As a Reseller, you must not:

• Place orders with fake, incorrect, or unverified delivery addresses.
• Misrepresent product specifications to your end customers beyond what is shown in the supplier catalog.
• Attempt to contact suppliers outside the Platform to bypass subscription fees.
• Use bots, scripts, or automated tools to scrape supplier catalogs or place bulk fake orders.
• Sell products in categories that are banned or restricted under Indian law (narcotics, weapons, counterfeit goods, etc.).
• Operate multiple accounts to circumvent trust-score requirements or wallet limits.

9. Consumer Protection Compliance

As the seller of record to your end customers, you are bound by the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. This includes obligations to:

• Display accurate product information and pricing on your store.
• Provide a clear and accessible return/refund policy to your customers.
• Honour refund or replacement requests within your stated policy.
• Provide a grievance officer contact on your e-commerce store if your annual turnover exceeds applicable thresholds.

DropSetu is not liable for any consumer complaints filed against you. However, we will provide order records and supplier communication logs to assist in resolving disputes where required.

10. Subscription & Fees

During the beta period, Reseller access to the Platform is free. Post-beta, a subscription tier system will be introduced with a minimum 30-day notice via WhatsApp and email before any fees become applicable. You have the right to close your account before fees take effect if you choose not to continue.

11. Account Suspension & Termination

DropSetu may suspend or terminate your Reseller account if:

• Your RTO rate exceeds 40% in any 30-day period.
• Fraud or manipulation of orders is detected.
• You breach any clause of these Terms.
• Your KYC documents are found to be forged or invalid.

Upon termination, your wallet balance will be refunded to your registered bank account within 14 business days, after deducting any outstanding amounts owed to suppliers or DropSetu.

12. Limitation of Liability

DropSetu is not liable for product quality, delivery failures, supplier defaults, or any losses arising from your reselling activity. DropSetu's total liability to you shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu, India. Contact hello@dropsetu.com before initiating proceedings.

We are a Data Fiduciary as defined under the DPDPA, 2023, responsible for determining the purpose and means of processing your personal data.

2. Data We Collect

From Suppliers:

• Full name, business name, GSTIN, PAN number
• Bank account details (for payout via penny drop verification)
• WhatsApp number and email address
• Business address and registered state
• Product catalog data (images, descriptions, pricing)
• Logistics account API tokens (encrypted, read-only access)
• Order history, dispatch records, and AWB numbers

From Resellers:

• Full name, mobile number, and email address
• Aadhaar-linked OTP for identity verification (we do not store Aadhaar number — only the verification status)
• Bank account details for wallet and refund processing
• Store name, Shopify/WooCommerce store URL
• Order history including end customer delivery address and phone number (order-level only)
• Platform usage data (login times, features accessed)

From Visitors (this waitlist page):

• Name, WhatsApp number, email address submitted via waitlist form
• Browser type, IP address, and device type (via standard server logs)

3. How We Use Your Data

We process your personal data only for the following purposes:

• Account creation and verification — GSTIN, PAN, Aadhaar OTP, and bank verification
• Order routing — passing order details (delivery address, phone) from Reseller to Supplier to fulfil orders
• Tracking relay — reading AWB status from your logistics account API and pushing updates to Reseller stores and end customers
• Payments & payouts — processing wallet top-ups, supplier payouts, and refunds
• Platform communications — WhatsApp and email notifications about orders, SLA alerts, and platform updates
• Compliance & fraud prevention — detecting fake orders, verifying identity, and meeting obligations under Indian law
• Waitlist management — contacting you about early access and onboarding

We do not use your data for advertising, profiling, or sale to third parties.

4. Legal Basis for Processing

Under the DPDPA, 2023, we process your data on the following bases:

• Consent — collected at registration and form submission (this waitlist form). You may withdraw consent at any time by contacting us.
• Contractual necessity — processing required to fulfil our agreement with you (order routing, payouts, SLA monitoring).
• Legal obligation — GST compliance, TDS deduction, and any other regulatory requirement under Indian law.

5. Data Sharing

We share your data only with the following categories of recipients and only to the extent necessary:

• Suppliers — Resellers' order-level data (delivery address, phone number, product ordered) is shared to enable fulfilment.
• Resellers — Suppliers' catalog data, ratings, and dispatch performance is visible to Resellers on the Platform.
• Payment processors — Razorpay or equivalent Indian payment gateway for wallet and payout processing. They operate under their own privacy policies and RBI compliance.
• Logistics APIs — We read tracking data from your courier account using the API token you provide. We do not share your token with any third party.
• Legal authorities — We will disclose data to Indian law enforcement or regulatory authorities if required by a valid court order or law.

We do not sell, rent, or broker your personal data to any third party.

6. Data Storage & Security

All personal data is stored on servers located in India (AWS Mumbai / Supabase India region) in compliance with data localisation requirements under Indian law.

We apply the following security measures:

• AES-256 encryption for sensitive fields (bank details, API tokens, PAN)
• TLS 1.3 in transit for all API and web traffic
• Role-based access control — only authorised personnel access personal data
• Regular security audits and penetration testing
• Automatic session expiry and 2FA for platform admin access

7. Aadhaar Data

We use DigiLocker-based Aadhaar OTP verification for Reseller KYC. We do not store your Aadhaar number on our systems. We receive only a verification confirmation (pass/fail) and the name associated with the Aadhaar. This process complies with the Aadhaar Act, 2016 and UIDAI guidelines. We are not an Authentication User Agency (AUA) — we use third-party DigiLocker API partners who are licensed for this purpose.

8. Data Retention

We retain your data for as long as your account is active and for the following periods thereafter:

• Financial records (invoices, payout records, GST data) — 7 years as required under Indian tax law
• Order records — 3 years for dispute resolution purposes
• KYC documents — 5 years as required under PMLA rules
• Waitlist data — 12 months from submission, or until you opt out

After the retention period, data is securely deleted or anonymised.

9. Your Rights Under DPDPA 2023

As a Data Principal, you have the following rights under the Digital Personal Data Protection Act, 2023:

• Right to Access — request a summary of personal data we hold about you
• Right to Correction — request correction of inaccurate or outdated data
• Right to Erasure — request deletion of your data (subject to legal retention obligations)
• Right to Grievance Redressal — raise a complaint with our Data Protection Officer
• Right to Nominate — nominate a person to exercise your rights in case of incapacity or death

10. Cookies & Tracking

This waitlist page uses minimal, essential cookies only for session management and basic analytics (page views). We do not use advertising cookies, third-party tracking pixels, or retargeting scripts. Analytics data is anonymised and aggregated.

11. Children's Privacy

DropSetu's services are intended for individuals aged 18 and above. We do not knowingly collect personal data from minors. If we discover that a minor has submitted data, it will be deleted immediately.

12. Data Protection Officer

Our Data Protection Officer can be contacted at privacy@dropsetu.com. If you are not satisfied with our response, you may file a complaint with the Data Protection Board of India once operational under the DPDPA, 2023.

13. Changes to This Policy

We may update this Privacy Policy as the Platform evolves or as laws change. Material changes will be communicated via WhatsApp and email at least 14 days before taking effect. The latest version is always available on this page.
